Terms of Service

By accessing or using the Divya AI Booking platform ("Platform"), including the web application, mobile applications, and API services, you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Platform.

Divya AI Booking provides a software-as-a-service (SaaS) transportation dispatch and booking management platform. The Platform includes: • A web-based dispatch dashboard for transportation operators • A driver mobile application for job management and GPS tracking • A client mobile application for booking and trip tracking • An AI-powered booking assistant and chatbot • Automated SMS, push notification, and voice communication tools • Affiliate network management tools Divya AI Booking is a technology platform only. We do not provide transportation services directly and are not a transportation company, carrier, or broker.

Transportation operators ("Operators") may create accounts to access the Platform. As an Operator, you agree to: • Provide accurate and complete registration information • Maintain the security of your account credentials • Ensure all drivers using your account are properly licensed and insured under applicable law • Comply with all local, state, and federal transportation regulations including but not limited to TLC, WCTLC, or equivalent licensing requirements • Not share your account credentials with unauthorized parties • Immediately notify us of any unauthorized access to your account You are solely responsible for all activity that occurs under your account.

Drivers accessing the Platform through an Operator account acknowledge that: • They are employees, independent contractors, or agents of the Operator -- not of Divya AI Booking • Divya AI Booking has no control over and bears no responsibility for their conduct, driving, or compliance with regulations • GPS location data will be collected and shared with the Operator and clients during active jobs • They consent to receiving automated calls, texts, and push notifications for job assignments, wake-up calls, and confirmations • They must maintain valid driving credentials, vehicle registration, and insurance as required by applicable law

Clients booking transportation through the Platform understand that: • Bookings are fulfilled by independent Operators, not by Divya AI Booking • Divya AI Booking is not responsible for the quality, safety, timeliness, or availability of transportation services • Pricing is set by Operators and may vary by route, vehicle, and time • Cancellation policies are set by individual Operators • By providing a phone number, you consent to receive automated SMS confirmations, reminders, and updates related to your bookings • You may opt out of SMS communications at any time by replying STOP

Operators are billed for Platform access according to the subscription plan selected at signup. Subscription fees are: • Billed monthly or annually as selected • Non-refundable except as required by applicable law • Subject to change with 30 days written notice • Automatically renewed unless cancelled before the renewal date Payment processing is handled by Stripe. By providing payment information, you authorize us to charge your payment method for applicable fees. Late payments may result in account suspension. Accounts suspended for non-payment will have their data retained for 30 days before permanent deletion.

You agree not to use the Platform to: • Violate any applicable law or regulation • Transmit spam, unsolicited messages, or harassing communications • Collect or harvest personal data from other users without consent • Attempt to gain unauthorized access to any part of the Platform • Reverse engineer, decompile, or disassemble any component of the Platform • Use the AI booking assistant to deceive, defraud, or mislead clients • Impersonate any person or entity • Interfere with or disrupt Platform infrastructure We reserve the right to suspend or terminate accounts that violate these terms without notice.

Your use of the Platform is also governed by our Privacy Policy, incorporated herein by reference. Key data practices include: • Operator business data is isolated per account and not shared with other operators • Driver GPS location is only collected during active jobs and shared only with the relevant Operator and booked client • Client booking data is retained for 3 years for accounting and dispute resolution • We use industry-standard encryption for data in transit and at rest • We do not sell personal data to third parties You may request data export or deletion by contacting privacy@divyaai.com.

The Platform, including all software, design, trademarks, and content, is owned by Divya AI Booking and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You retain ownership of your data. By using the Platform, you grant us a license to process, display, and transmit your data as necessary to provide the service. You may not copy, modify, distribute, or create derivative works based on the Platform without written permission.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • DIVYA AI BOOKING IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND • WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM • WE ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF OPERATORS, DRIVERS, OR CLIENTS Some jurisdictions do not allow limitations on liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Divya AI Booking, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: • Your use of the Platform • Your violation of these Terms • Your violation of any third-party rights • Any transportation services provided by you as an Operator • Any accident, injury, or damage caused by a driver using your Operator account

Either party may terminate the agreement at any time. Upon termination: • Operator access to the Platform will be disabled • Data will be retained for 30 days and then permanently deleted • Outstanding subscription fees remain due and payable • We will provide a data export upon request within the 30-day retention period We may terminate accounts immediately for violation of these Terms, non-payment, or activities that pose risk to other users or the Platform.

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Westchester County, New York. You waive any right to a jury trial in connection with any dispute arising from these Terms.

We may modify these Terms at any time. We will provide 30 days notice of material changes via email to the account holder. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms. You are responsible for reviewing Terms periodically.
